PHILIPS ELECTRONICS N.V. ADRs, $32.00, New York symbol PHG, plans to break itself into two separate, publicly traded companies by the end of 2015. One firm will consist of Philips’s lighting solutions business, which accounted for 32% of Philips’s 2013 sales of 22 billion euros (1 euro = $1.42 Canadian). These operations design and build light emitting diode (LED) systems for cities, arenas and other large-scale uses. This new company will not include Philips’s LED components and automotive lighting manufacturing operations, which it plans to set up as a separate firm. Philips still intends to sell a portion of this business, either to the public or to private investors....

CHESAPEAKE ENERGY (New York symbol CHK; www.chkenergy.com) is one of the largest U.S.-based oil and natural gas explorers and producers. Its production mix is 72% gas and 28% oil.

Chesapeake’s shares have nearly doubled since mid-2012, when activist investor Carl Icahn bought a stake in the firm. Icahn, who has a history of pushing companies to make changes that raise shareholder value, subsequently replaced four of Chesapeake’s eight board members with his nominees. The company also pushed out controversial co-founder, CEO and chairman Aubrey K. McClendon....
CONAGRA FOODS INC., $33.61, New York symbol CAG, rose 4% this week after reporting better-than-expected earnings.

In its fiscal 2015 first quarter, which ended August 24, 2014, ConAgra’s earnings form ongoing operations fell 16.6%, to $111.2 million, or $0.25 a share....

APPLE INC., $101.66, Nasdaq symbol AAPL, unveiled several upgrades to its hugely popular iPhone smartphone this week. The new model comes in two screen sizes, 4.7 inches (called the iPhone 6) and 5.5 inches (iPhone 6 Plus), both of which are larger than the current 4.0-inch iPhone 5. The bigger screens should help Apple compete with cheaper smartphones powered by Google’s Android software, particularly in emerging markets. The iPhone 6 also includes the company’s new wireless payment system, called Apple Pay. With this service, users add their credit card information to their phones. They can then use them to pay for goods at any tap-and-pay-enabled cash register and for some online purchases. To prevent fraudulent transactions, the phone will scan the user’s fingerprint to confirm their identity....

I can say without reservation that, in investing, spinoffs are the closest thing you can find to a sure thing. It all comes down to the incentives. In spinoffs, the incentives work in your favour. This is easier to understand if you contrast spinoffs to one of the least desirable investments, new stock issues, where the incentives all work against you. New issues (also known as Initial Public Offerings or IPOs) come to market when it’s a good time for the company or its insiders to sell. That’s not necessarily—and often isn’t—a good time for you to buy. In addition, the underwriting brokerage firms try to spark investor interest in the new issue. They hire public relations firms to get the media interested. They also pay extra commission (double or more the regular rates) to spur their salespeople to sell the new issue....
ARCHER DANIELS MIDLAND CO., $50.36, New York symbol ADM, processes corn, wheat, soybeans, canola, flax seed, peanuts, cocoa and other crops into a wide variety of food ingredients, such as flour, oils and sweeteners. It is also the largest maker of ethanol from corn in the U.S. This week, the company agreed to sell its global chocolate operations, including three plants in North America and three in Europe, to privately held Cargill Inc. These businesses process cocoa into chocolate for candy makers and other food companies. Archer Daniels will receive $440 million when it completes the sale in the first half of 2015. That’s equal to 83% of the $533 million, or $0.81 a share, that it earned in the three months ended June 30, 2014....

TIM HORTONS INC., $80.44, New York symbol THI, jumped 27% this week after agreeing to a friendly takeover offer from Miami-based Burger King Worldwide (New York symbol BKW). The combined firm would be the world’s third-largest fast-food operator, after McDonald’s and Yum Brands, with annual sales of $23 billion U.S. and 18,000 restaurants in over 100 countries. Canada will supply 67% of the merged company’s revenue, followed by the U.S. (20%) and other countries (13%). The Tim Hortons and Burger King chains will operate independently but will probably share some back office and distribution networks. Tim Hortons can also use Burger King’s expertise to expand in the U.S. and other countries....
